What Is "jednatel" in a Czech Legal Entity?

Jednatel is the director of a Czech company (legal entity). The director has the right to represent the legal entity in all matters and to the full extent of their authority. They may sign any documents on behalf of the company and manage the company.

The directors of a Czech legal entity are appointed by its members (společníci) at a meeting of the members or by a decision of the sole member if the company has only one. A director can be either a natural person (which is most common) or a legal entity.

A Czech company may have one director or several directors. If there is more than one, the company's constitutional documents often specify how they are authorized to represent the company. For example, the consent of all directors may be required, or each director may be authorized to represent the company independently and to the full extent of their authority, regardless of the other directors (this is the most common arrangement). It is also possible for a Czech company to have no director appointed at all; Czech law allows this, and such situations do occur.

To register a director in the Czech Commercial Register, the director's written consent is required, as well as a criminal record certificate from the country of their citizenship.
